Boussard & Gavaudan Holding Limited announces it has been informed that, following an Extraordinary General Meeting of Boussard & Gavaudan Fund Plc (the "Fund") held on 19 December 2011, the shareholders of the Fund have approved a proposal to reorganise the Fund into a master/feeder structure. As a result of this reorganization, the Company will cease to be directly invested in the Fund with effect from the effective date of the reorganization and, instead, will invest in the Fund indirectly through a holding in a sub-fund of a new feeder fund vehicle, BG Umbrella Fund plc, which is to be established as an Irish designated investment company with variable capital.
