Banco Pan S.A. ("Banco Pan"), Banco BTG Pactual S.A. ("BTG Pactual") and Caixa Participações S.A. - CAIXAPAR ("Caixapar"), pursuant to CVM Rule 358/02, as amended, and complementing the Material Facts disclosed by Banco Pan on June 13, 2014, and by Banco Pan, BTG Pactual and Caixapar on August 21, 2014, hereby inform their shareholders and the market in general that, having been granted all necessary and applicable regulatory approvals, including the approval from Brazil's Central Bank, and having been verified compliance with the respective conditions precedent, it have been concluded, on this date, the transactions envisaged in the purchase and sale agreements through which Banco Pan sold (i) its 100% interest in Pan Seguros S.A. ("Pan Seguros") to BTG Pactual Seguradora S.A., and (ii) its 100% interest in Panamericano Administração e Corretagem de Seguros e de Previdência Privada Ltda. (“Pan Corretora”) to BTG Pactual and Caixapar ("Transactions"). As included in the above-mentioned Material Facts, Caixapar, within the scope of the Transactions, has protected its right to maintain its current condition as co-controlling shareholder of Pan Seguros.
As a result of the conclusion of the Transactions, Banco Pan is no longer a shareholder of Pan Seguros and Pan Corretora.
