Following outcome EGM Class A Noteholders Meeting on April 17, 2012 to accept offer by Utrecht Holdings S.à.r.l. ("Bidco") to acquire the Senior Loan in an enforcement sale, a Loan Sale Agreement was signed on April 25, 2012 pursuant to which, subject to certain conditions, the Senior Loan will be sold to Bidco on the terms outlined in the public notice released on March 23, 2012 regarding the offer by Bidco. An application to the Dutch Courts for approval is expected to be made shortly.
