TNT Express nominates two new Supervisory Board members

Hoofddorp, The Netherlands, 6 February 2012 - TNT Express is today pleased to announce
the intention to expand its Supervisory Board by two highly qualified candidates who will
contribute to the successful performance of TNT Express in the interest of all stakeholders,
including shareholders.
The Supervisory Board has nominated Mr. Marcel Smits and Mr. Sjoerd van Keulen and
recommends that all shareholders vote in favour of their appointment at the Annual General
Meeting on 11 April 2012.
Mr. Marcel Smits is the CEO of Sara Lee Corporation. Mr. Smits brings extensive international
business experience and has a strong track record of enhancing shareholder value during his
careers at Vendex KBB, KPN, and, most recently, Sara Lee.
Mr. Sjoerd van Keulen is the Chairman of Holland Financial Centre. Mr. van Keulen has a long
career in international banking and finance, from 2002 to 2009 as chairman of the executive
board of SNS REAAL Bank.
We are confident that shareholders will support the appointment of these new Supervisory
Board members.
TNT Express has received a proposal from one shareholder requesting the nomination of one
or more other individuals to the Supervisory Board. After careful consideration, the Supervisory
Board has rejected the nomination of these candidates as they do not meet the requirements
of independence as laid down in the company’s legal and governance rules relating to the
composition of the Supervisory Board.
TNT Express remains committed to open and transparent engagement with all stakeholders,
including all shareholders, and welcomes constructive dialogue with them.
The agenda for the Annual General Meeting will be published on 28 February 2012.
