With reference to the announcement on 12 November 2009 SNS Bank N.V. announces the New Issue Coupon in
relation to the offer to exchange (the "Exchange Offer") up to EUR 100,000,000 of the EUR 350,000,000 Fixed/Floating
Rate Hybrid Capital Securities issued by SNS REAAL N.V. (the "SNS REAAL Securities") and any or all of the EUR
200,000,000 Subordinated Fixed changing to Floating Rate Notes issued by SNS Bank (the "SNS Bank Notes, together
with SNS REAAL Securities, the Existing Notes") for new Euro-denominated Tier 1 notes to be issued by SNS Bank (the
"New Notes"). Capitalised terms used and not otherwise defined in this announcement have the meaning given in the
Exchange Offer Memorandum dated 12 November 2009.
New Issue Coupon: 11.25%
The Exchange Offer will end at 17.00 hours, Central European time, on 19 November 2009 (the "Expiration Time" on the "Expiration Date", respectively), unless extended or earlier terminated by SNS Bank. SNS Bank will announce as soon as practicable after 10:00 hours, Central European time 20 November 2009 (the "Acceptance Time") (i) whether it will accept for exchange any offer of Existing Notes of each Series and (ii) if so, the aggregate nominal amount of such Existing Notes so accepted (including any pro rata allocations in respect of the SNS REAAL Securities (if applicable)) and the final aggregate nominal amount of New Notes.
