Material Fact - Engelhart CTP Transaction

Banco BTG Pactual S.A. ("BTG Pactual"), in accordance with CVM Instruction 358/02, further to the previously announced separation of its commodities trading activities, and as previously disclosed in the Material Fact dated April 8, 2016, hereby informs its shareholders and the market in general of its decision to distribute to its shareholders, subject to the procedures described herein, part of its equity interests in Engelhart CTP Group S.A. ("Engelhart CTP"), a company organized in Luxembourg, through which the commodities trading activities of BTG Pactual (other than the activities relating to Brazil's energy trading desk) are conducted ("Transaction"). As explained in greater detail below, additional BBTG11 units ("Additional Units") will be delivered to those shareholders that do not elect to receive equity interests in Engelhart CTP so that the book value of their aggregate BBTG11 Units, based on a March 31, 2016 reference date, remains unchanged immediately prior to and following the completion of the Transaction (the section below entitled "Other Relevant Information" contains tables illustrating such scenarios).
Set forth attached is the structure for implementing the Transaction, as well as additional details regarding the receipt of Additional Units and/or equity interests in Engelhart CTP, as applicable.
