NOTICE IS HEREBY GIVEN to the Noteholders that:
in respect of Series 1:
• at the Noteholders' Meeting held today, 3 June 2016, the extraordinary resolution as set out in the Notice was duly passed and approved;
• the amendments to MTNCondition 17 will be implemented by the execution of a supplemental agency agreement; and
• the Issuer and the Substituted Debtor will issue a press release if and when a decision to substitute the Issuer is taken.
in respect of Series 2 and Series 3:
as the required minimum amount of Series 2 and Series 3 was not represented, the Issuer convenes, in accordance with the relevant provisions for meetings of Noteholders contained in the Agency Agreement,
• a meeting of Noteholders of the 750M 3 years 0.50% Notes scheduled to be held on 28 June 2016, at 11.45 a.m. CET; and
• a meeting of Noteholders of the 1000M 3 years FR Notes scheduled to be held on 28 June 2016, at 12.00 a.m. CET;
