CHARLOTTE, N.C.– (BUSINESS WIRE) – August 3, 2015 – Bank of America Corporation filed a Preliminary Proxy Statement with the U.S. Securities and Exchange Commission (the “SEC”) on July 31, 2015.
The preliminary proxy statement is filed in connection with a Special Meeting to ask stockholders to ratify the amendments made to Bank of America's Bylaws in October 2014, which removed the requirement that the Chairman of the Board should be an independent director and added provisions contemplating a Lead Independent Director.
