Subject to all conditions in the loan transfer agreement by and between the Note Trustee, the Issuer and Utrecht Holdings S.à.r.l. d.d. June 15, 2012 having been fulfilled, the Note Trustee will enforce its right of pledge over the rights under the Senior Loan.
This Notice constitutes an Enforcement Notice for the purposes of the Transaction Documents.
The Note Trustee has agreed additional arrangements with the Issuer, the Servicer and the Special Servicer in a side letter to the Enforcement Notice regarding the consequences of the Enforcement Notice having been sent. A copy of such side letter is available upon written request to the Note Trustee.
