On April 17, 2012 an EGM is scheduled for each of the Class A, B, C and D to approve (or reject) a consensual restructuring of the Senior Loan and the Notes, and should the consensual restructuring not be approved at the meeting of any one of the CMBS classes, Class A noteholders will be asked at a separate EGM to approve or reject the Credit Bid, namely a sale of the Senior Loan to a private consortium, that credit bid being financed by a new loan to be made to the purchaser by the existing Class A Noteholders. If the consensual restructuring is approved by all classes of notes and will be implemented by the Trustee thereby making teh credit bid redundant.
