Mandatory notifications

Managers are required to notify the AFM of material changes, incidents and pre-marketing activities.

Material changes

The AFM grants a licence after determining that the firm meets the licensing requirements. If anything changes in your business, it may affect the licence. Therefore, you should report material changes in a timely manner.

Examples of material changes you need to report are:

• Please send changes in respect of issues reviewed as part of the licensing process to meldingenaifmd@afm.nl

• Please send changes in respect of an investment fund managed by your firm to meldingenaifmd@afm.nl

• Acquisition or termination of a participation and/or control in a firm

• Appointment of an external appraiser or termination of such appointment

Outsourcing of activities or termination of such outsourcing

Other types of notifications you need to make to the AFM are:

• reporting abuses and incidents, in accordance with, for example, Sections 4:11, 4:92 and 4:97 of the Dutch Financial Supervision Act (Wft). This can be reported by e-mail via meldingenaifmd@afm.nl

• pre-marketing, this can be done via the form on the page about reporting pre-marketing.

In the AFM Portal, you can also perform the notification and cancellation of investment funds and verifiable persons. Applications to grant or revoke a (partial) licence or European passports also go through the AFM Portal.
