Notification or cancellation of a European passport

Dutch licence holders wishing to offer services in an EU member state must hold a European passport. On this page, you can read about these so-called passports. How should you register and how does cancellation work?

Notification of outgoing European passport AIFM investment fund

Dutch licensed alternative investment fund managers (AIFMs) wishing to offer an alternative investment fund (AIF) in an EU Member State must notify the AFM of their passport.

At the request of the Dutch licensed manager, the AFM may send a notification to EU Member States containing more information about the manager and the AIF.

When a Dutch licensed manager wants to start offering a non-European AIF in an EU Member State, the AFM refers the manager to the regulatory authority of the relevant country.

For information on offering a Dutch or European AIF to non-professional investors in an EU Member State, please contact the regulatory authority of the relevant Member State.

For a request to notify (passport) a Dutch or European AIF, you must provide the following documents via the AFM Portal:

• notification form Article 32 AIFMD
• reference table Article 23 AIFMD
• Prospectus
• Articles of association/regulations of the AIF

The AFM does not charge fees for the notification of investment services. Other countries may charge fees. Ask for information about this from the regulatory authority of the relevant country. The AFM will send the notification to the relevant regulatory authority within 20 working days. As soon as the notification has been sent by the AFM, it will inform the manager. From then on, the manager can offer the AIF in the host Member State.

Notification of outgoing European passport AIFM manager

Dutch licensed alternative investment fund managers (AIFMs) who want to start managing an AIF established in another Member State or provide investment services must notify the AFM of their passport.

The AFM can issue a notification to EU Member States at the request of the Dutch licensed manager. This notification includes information about the manager and the AIF.

For a request to notify (passport) the management of a European AIF, you must provide the following documents via the AFM Portal:

• Notification of EU AIF following Article 33 AIFMD
• Notification of services following Article 33 AIFMD

The AFM does not charge fees for the notification. Other countries may charge fees. Ask for information about this from the regulatory authority of the relevant country.

The AFM reviews and sends the completed notification form to the competent authorities of the relevant Member State within one month. The AFM will inform the manager of this, from which point the manager can become active in the host EU Member State.

Notification of outgoing European passport EuVECA or EuSEF label

The EuVECA or EuSEF label may be used by the manager to offer units of a Venture Capital or Social Entrepreneurship Fund it manages in certain other Member States.

The AFM can issue a notification to EU Member States at the request of the Dutch manager. This notification includes information about the manager and the Venture Capital or Social Entrepreneurship Fund.

For a request to notify (passport) a Dutch Venture Capital or Social Entrepreneurship Fund with an EuVECA/ EuSEF label granted by the AFM, you must submit the following document (including attachments) via the AFM Portal:

The AFM does not charge fees for the notification of a EuVECA or EuSEF label.

Other countries may charge fees. Ask for information about this from the regulatory authority of the relevant country.

The AFM sends the completed notification form to the competent authorities of the relevant Member State within two months.

Notification of incoming European passport for a non-EU AIFM investment fund

European licensed alternative investment fund managers (AIFMs) wishing to offer a non-European AIF in the Netherlands must notify the AFM of their passport.

A European licensed manager wishing to offer a non-European AIF in the Netherlands must report this to the AFM using an Article 36 notification form accompanied by an ‘attestation’ from the relevant European regulatory authority.

For a request to notify (passport) a non-European AIF, you must provide the following documents (with appendices) via the AFM Portal:

• notification form EU managers pursuant to Article 1_13b Section 3 Dutch Financial Supervision Act (Wft) (36 AIFMD)
• attestation from the European regulatory authority

Cancellation of outgoing European passport AIFM manager or AIFM investment fund

Cancellation? If an investment fund (or its subfund) is no longer offered in a particular EU Member State, you cancel the relevant passport via the AFM Portal. Cancellation is free of charge.

Cancellation of incoming European passport for a non-EU AIFM investment fund

If the non-EU AIFM investment fund is no longer offered in the Netherlands, you can cancel the passport by email to non.eu.notifications.aifmd@afm.nl
