AFM highlights important points for prospectuses in 2026
As in previous years, the AFM expects a peak in applications for updating (base) prospectuses in the first months of 2026. In order to provide issuers with effective support and contribute to a smooth and efficient approval process, we would like to inform you about some specific points of attention we will be focusing on in 2026 when reviewing(base) prospectuses and supplements.
In short
• New requirements due to the EU Listing Act
• Inform the AFM in good time about European green bonds
New requirements due to the EU Listing Act
Several changes to the prospectus regulations have been in force since December 2024 through the EU Listing Act. New changes will take effect on 5 March 2026 and 5 June 2026, which will have a significant impact on both the content of the prospectus and the procedure.
Inform the AFM in a timely manner about European green bonds
The AFM has now approved several prospectuses for the issuance of European green bonds, and the first bonds have been issued. Because the review of these prospectuses is still relatively new, it may take more time than usual. We request that issuers who wish to submit a prospectus for European green bonds for the first time inform us in good time of their plans and the desired approval date.
