  • Comments Further to the announcements on 18 September 2013 by OCI N.V. regarding the launch and pricing of €300 million in aggregate principal amount of senior, unsecured bonds due 2018 (the “Bonds”) convertible into Ordinary Shares of OCI N.V. (the “Offering”), Barclays Bank PLC and JP Morgan Securities plc (together the “Joint Bookrunners”) have informed OCI N.V. that they are exercising the over-allotment option granted to them in respect of €39 million of the Bonds. As a result, the aggregate principal amount of the Bonds will be increased to €339 million. The expected date of issue, settlement and delivery of the Bonds is 25 September 2013. Following the exercise of the over-allotment option, the potential dilution as a consequence of conversion of the Bonds and the issuance of approximately 1.77 million new Ordinary Shares is 5.3%. Any cash elections under the terms of the previously announced exchange offers for OCI S.A.E. would reduce dilution. Barclays Capital Securities Limited acted as stabilisation manager.
