Reference tables prospectus For Issuers of securities

A draft prospectus submitted for approval to the AFM must be accompanied by the applicable filled-out reference tables.

The applicability of the reference tables depends on the type of securities and the type of issuer. Other combinations of reference tables may be required, depending on the specific securities concerned. In general, a prospectus must be accompanied by a reference table for the registration document (with information about the issuer) and a reference table for the securities note (with information about the securities).

The reference tables are based on the Prospectus Regulation 2017/1129 and the Annexes to the Delegated Regulation (EU) 2019/980. These Annexes state the requirements for the information that has to be included in the prospectus. In the reference tables, it must be specified where the relevant mandatory information can be found in the prospectus.

The reference tables are available in both the Dutch and English language.

Specialist issuers

Currently, there are no reference tables for specialist issuers available under the Prospectus Regulation. The expectation is that in time, the new requirements will be published. As explained in Q2.1 of the ESMA Q&A of 12 July 2019, the existing Annexes under the Prospectus Regulation 809/2004 can be used for the time being:
