Preparing a prospectus does not have to be an expensive or complicated process. Nevertheless, market parties sometimes prefer to offer securities without an approved prospectus rather than with a prospectus that has been approved by the Netherlands Authority for the Financial Markets (AFM). However, changes in legislation and regulations as well as the present economic climate are making it increasingly difficult to offer securities under an exemption, i.e. without an approved prospectus. Accordingly, the AFM is offering a course on ‘AFM’s prospectus approval procedure.’
If you have a medium-sized or small company and you intend to offer securities for sale in the Netherlands and prepare your own prospectus, you can register for the course on ‘AFM’s prospectus approval procedure.’ During the course, we discuss the various rules that apply to a prospectus and the approval procedure.
The course is spread out over one and a half days, takes place at the office of the AFM (Vijzelgracht 50, 1001 GS Amsterdam) and is offered free of charge.
You can take the course on either of the following dates:
Day 1: Wednesday 12 October 2011: 9:30 AM – 5:30 PM (including lunch) and
Day 2: Wednesday 19 October 2011: 9:30 AM – 12:30 PM
Day 1: Thursday 12 January 2012: 9:30 AM – 5:30 PM (including lunch) and
Day 2: Thursday 26 January 2012: 9:30 AM – 12:30 PM
During the first day of the course, the following topics are dealt with:
- the goal of a prospectus;
- in which cases a prospectus needs to be prepared;
- how a request for the approval of a prospective should be submitted;
- the process that follows after a request is submitted;
- which elements must always be included in a prospectus;
- what obligations may apply after the approval of a prospectus;
- the rules that apply to the supplement to a prospectus that may need to be prepared in some
After participating in day 1 of the course, you are given the opportunity to do some ‘homework’ in the form of preparing a first draft of your prospectus. We provide a global evaluation of this draft based on the rules that apply to a prospectus. We do so free of charge. As a result, you find out whether your prospectus is generally adequate or whether you will have to make significant improvements. This will help you to navigate the AFM's approval procedure more quickly and successfully.
On the second day, we use the draft prospectus to focus on those elements of the rules which are frequently a source of errors for individuals involved in preparing a prospectus. Of course, you will also be given the opportunity to ask questions.
